WhiteHorse Finance Stockholders Elect Directors, Ratify Deloitte as 2026 Auditor

WhiteHorse Finance (NASDAQ:WHF) stockholders elected three Class II directors and ratified the company’s independent auditor during its 2026 Annual Meeting of Stockholders.

Stuart Aronson, WhiteHorse Finance’s chief executive officer and a director, presided over the virtual meeting. He said the company had a quorum to conduct business and that stockholders had access to meeting materials, including the company’s amended 2025 annual report on Form 10-K and first-quarter 2026 report on Form 10-Q.

Director Elections

Stockholders elected Rick P. Frier, Stuart Aronson and Jay Carvell as Class II directors. Their terms will expire at the company’s 2029 Annual Meeting of Stockholders, or when their successors are duly elected and qualified.

The three nominees were recommended by WhiteHorse Finance’s Nominating and Corporate Governance Committee and nominated by the board.

Aronson also introduced the company’s other directors during the meeting, including Board Chairman John Bolduc, Vice Chairman Rick Fryar, Rick Puckett, G. Stacy Smith and John P. Volpe.

Auditor Appointment Ratified

Stockholders also ratified the selection of Deloitte & Touche as WhiteHorse Finance’s independent registered public accounting firm for the fiscal year ending Dec. 31, 2026.

Clay Chandler of Deloitte & Touche attended the meeting telephonically and was available to address stockholder questions concerning the company’s financial statements, according to Aronson.

Meeting Concludes

Peter Deskovich, a representative of Broadridge Financial Solutions, served as inspector of election. Following the count of ballots and proxies, Chief Compliance Officer Marco Collazos, who also served as secretary of the meeting, reported that both proposals had been approved.

Aronson declared the proposals accepted by stockholders and adjourned the meeting after noting there was no further official business.
