
Stockholders of Aura Biosciences (NASDAQ:AURA) approved two proposals at a special virtual meeting held Aug. 5, 2026, including an increase in the company’s authorized common shares and an amendment to its equity incentive plan.
Natalie Holles, Aura Biosciences’ chief executive officer and president, called the meeting to order and said it was conducted under the company’s amended and restated bylaws and Delaware law. The company had mailed its notice and proxy statement to stockholders of record on or about June 29, 2026, with a June 12, 2026 record date.
Quorum Established
Holles said stockholders could vote through the virtual meeting platform or rely on proxies already submitted. The polls opened at 9:34 a.m. and closed at 9:35 a.m. No questions were submitted on either proposal, according to Bentley.
Authorized Share Increase Approved
The first proposal sought approval for an amendment to Aura Biosciences’ Tenth Amended and Restated Certificate of Incorporation. The amendment increases the number of authorized shares of common stock to 500 million from 150 million.
The company’s board of directors unanimously recommended that stockholders vote in favor of the proposal. Bentley reported that votes cast in favor exceeded votes cast against, resulting in approval of the amendment.
Equity Plan Amendment Also Receives Support
Stockholders also approved Amendment No. 1 to Aura Biosciences’ 2021 Stock Option and Incentive Plan. The board had unanimously recommended approval of that measure as well.
According to Bentley, a majority of properly cast votes for and against the proposal supported the amendment.
Holles declared that all proposals presented at the special meeting had been approved. She said final voting results, including ballots and proxies recorded during the meeting, will be included in the inspector of election’s report and the meeting minutes, and will also be reported in the company’s filings with the U.S. Securities and Exchange Commission.
The meeting was then adjourned.
