
Trulieve Cannabis (NYSE:TRLV) shareholders approved a special resolution supporting a plan of arrangement that includes moving the company’s corporate jurisdiction from British Columbia to Delaware.
The approval came during a virtual special meeting held Aug. 5, 2026. Kim Rivers, Trulieve’s chair and chief executive officer, chaired the meeting, while Chief Legal Officer and Corporate Secretary Eric Powers served as secretary.
Arrangement Resolution Approved
The primary item before shareholders was a special resolution related to Trulieve’s plan of arrangement, including the continuance of the corporation from British Columbia to the State of Delaware.
After the motion was presented, shareholders were provided an opportunity to submit votes online before the polls closed. Powers subsequently reported that preliminary voting results showed the arrangement resolution had received the required majority approval.
“Based on the provisional results, I declare that the arrangement resolution and the adjournment proposal, each having been moved at this meeting, have both been approved with the requisite majorities having been attained,” Powers said.
The company said a final report from the scrutineer, Robert B. Johnson of The Carideo Group, acting as agent for Broadridge Financial Solutions, would be compiled and retained with the meeting records.
Adjournment Proposal Also Passes
Shareholders also approved an ordinary resolution authorizing an adjournment of the meeting, if necessary, to solicit additional proxies in the event that there had been insufficient votes to approve the proposals.
That proposal also achieved the required majority, according to the preliminary voting results. Because the arrangement resolution passed, the company proceeded to conclude the meeting rather than adjourn it.
Voting Structure and Board Attendance
Powers noted that each shareholder was entitled to one vote per subordinate voting share and 100 votes per multiple voting share on matters presented at the meeting.

Trulieve concluded the special meeting after the resolutions were approved and thanked shareholders for their ongoing support.
