Greenlane (NASDAQ: GNLN) deconsolidates legacy units and flags $3.2 million gain

What happened

Greenlane Holdings, Inc. (NASDAQ: GNLN) said four subsidiaries made assignments for the benefit of creditors on September 30, 2026. Philip J. von Kahle, the assignee, now controls most of their assets for liquidation and creditor distribution. Greenlane said these units ran its legacy wholesale distribution business, which had already been substantially wound down. The company said it no longer can direct the activities that most affect those entities, so it will deconsolidate them.

The filing says the assignments do not release the assignors or the assigned subsidiaries from their liabilities. Greenlane said those liabilities come off its consolidated balance sheet because of deconsolidation, not because they were paid or released. It also said the company agreed in principle to lend the assignee $100,000 to fund assignment costs, but no loan agreement has been signed and no funds have been advanced. Greenlane said it received no consideration for the assignments.

Why it matters

The move removes the legacy wholesale units from Greenlane's consolidated accounts and leaves investors with a cleaner view of the remaining company. OptimistFi's case is that Greenlane must build liquid NAV faster than legacy losses and dilution erode it. This filing cuts part of the legacy base through creditor assignments. The pro forma balance sheet shows total assets of $31.43 million and total liabilities of $2.79 million as of June 30, 2026.

The accounting also shows a preliminary gain on deconsolidation of $3.16 million, recorded in accumulated deficit and equal to liabilities removed less assets removed. The gain is nonrecurring, and the filing says the actual gain will use September 30, 2026 balances and may differ materially. On the pro forma statements, net loss attributable to Greenlane Holdings, Inc. for the year ended December 31, 2025 narrowed to $48.12 million from $85.58 million.

For the six months ended June 30, 2026, it narrowed to $36.86 million from $43.19 million.

What's next

Greenlane said the actual gain will be reported in its Quarterly Report on Form 10-Q for the quarter ended September 30, 2026. A figure close to the preliminary $3.2 million would support the deconsolidation benefit, while a materially different result would weaken that read.
