Henry Schein (NASDAQ: HSIC) names Caprais CFO in November transition

What happened

Henry Schein, Inc. (NASDAQ: HSIC) said Emmanuel Caprais will become chief financial officer on November 4, 2026. He will start as Senior Financial Advisor on October 12, 2026 to support a structured transition.

Ronald N. South will move to Senior Advisor on November 4, 2026 after 18 years with the company.

Caprais most recently served as senior vice president and chief financial officer of ITT, Inc. from 2020 to May 2026, and joined ITT in 2012. He will join the Henry Schein Leadership Team and report to Frederick M. Lowery, chief executive officer.

Under the offer letter, Caprais gets a $750,000 base salary, a $750,000 target annual bonus, a $25,000 cash sign-on bonus and a $250,000 sign-on equity award. The equity award is split evenly between performance-based restricted stock units and time-based restricted stock units.

The company also expects to add a chief strategy and transformation officer and a new technology leadership role covering AI implementation, data and broader technology needs.

Why it matters

OptimistFi's case is that Henry Schein is a scale dental and medical distributor whose stock works only if practice relationships and value-added technology and services restore profit and cash growth. This filing is mixed for that case because it brings in a finance leader with operations, strategy and investor-relations experience, and it points to more leadership around strategy and technology.

Henry Schein says sales reached $13.2 billion in 2025 and have grown at a compound annual rate of about 11.0% since it became public in 1995. The company's expected 2027 long-term incentive award for Caprais is $2.5 million, about 3.3 times his $750,000 annual base salary. That pay mix ties a larger long-term award to the new CFO role, but the change remains a personnel move.

What's next

Caprais starts as Senior Financial Advisor on October 12, 2026 and becomes CFO on November 4, 2026. South shifts to Senior Advisor on November 4, 2026 after 18 years with the company.

Caprais's one-time sign-on equity award is expected in December 2026, and his 2027 long-term incentive award is expected in March 2027. A smooth handoff would support the execution story, while a delay would undercut it.
