What happened
No: IREN Limited (NASDAQ: IREN) has not announced a plan to buy back 150 million shares. Its October 13 proxy asks shareholders to permit share delivery instead of cash when previously purchased capped-call options settle. The resolution calls that a selective buyback under Australian law, but the board says approval would last 12 months and obligate the company to buy no shares.
Proposal 3 covers up to 149,899,998 ordinary shares across the options. IREN Limited (NASDAQ: IREN) bought the capped calls alongside six convertible-note series issued from December 2024 through May 2026. They aim to offset some dilution when notes convert, subject to each option's strike and cap prices. Last year's vote covered the earliest two series. This proposal renews that authority and adds later transactions.

Why it matters
Divide 149,899,998 by the 398,564,854 ordinary shares outstanding on September 18 and the authorization equals 37.61% of the share base. That is a useful scale check, not an estimate of shares retired. Actual delivery depends on option value, share prices, timing and IREN Limited (NASDAQ: IREN) choosing shares rather than cash. The options expire between 2029 and 2033 unless settled earlier under their terms.
A separate Proposal 2 covers up to 14,519,103 shares under prepaid forwards. Adding that number to the capped-call ceiling would misleadingly imply two independent open-market repurchase programs. Both arrangements relate to convertible financing, and the prepaid forwards were paid for when entered into.
The strongest case for approval is real: shares delivered to IREN Limited (NASDAQ: IREN) would be cancelled, potentially reducing dilution. The countercase is that cash settlement can still offset some conversion-related cash payments. A yes vote does not promise a new cash outlay, a particular diluted share count or an attractive stock valuation.

What's next
Shareholders vote at the November 24 annual meeting. Afterward, check whether IREN Limited (NASDAQ: IREN) settles capped calls in shares and how many shares it cancels. Then compare the diluted share count as convertible notes mature or convert. Until a settlement occurs, the 149.9 million figure describes permission, not a completed buyback.
