TransDigm (TDG) COO sold 53% of stake in prearranged trade

What happened

Joel Reiss, TransDigm Group Inc.'s Co-Chief Operating Officer, sold 4,100 shares on 2026-10-15 under a Rule 10b5-1 plan. The shares came from stock options exercised the same day. The sale price range was $1,112.27 to $1,135.95 per share. That brought in about $4.62 million in total proceeds. After the sale, Reiss held 3,600 shares, and the filing shows 7,700 shares beneficially owned after the option exercise.

The option exercise price was $284.97, and the sale itself was spread across 21 sale lines in the filing.

Why it matters

OptimistFi's case is that TransDigm's value depends on proprietary, safety-critical aircraft components continuing to support aftermarket demand, pricing power, and acquisition reinvestment. This filing is mixed against that lens because it shows a large insider disposal, but it also shows a prearranged plan and same-day option exercise. The sale was about 53.2% of the 7,700-share holding before the trade, so it was a meaningful reduction in ownership.

That matters because the filing shows how much stock Reiss chose to keep after the transaction, alongside the 3,600 shares left after the sale. The same filing shows the shares were sold after an option exercise, which links the disposal to compensation activity as well as cash proceeds. The strongest caveat is that Rule 10b5-1 plans can lock in sales ahead of time, so this filing is not a clean read on a fresh view of the business.

What's next

The next quarterly report is the next scheduled operating check after this Form 4, and it will be the next dated operating read. If TransDigm later reports stronger operating results, the sale will look more like a separate ownership event. If the next report shows weaker operating trends, the smaller holding after the trade will matter more to investors. For now, the filing establishes the size, price and structure of Reiss's transaction.

It also establishes the remaining 3,600 shares he held after the sale, giving investors a clean baseline for the next operating report.
