What happened
Marvell Technology, Inc. (NASDAQ: MRVL) entered a third amended and restated revolving credit agreement on October 22, 2026. The agreement provides for borrowings of up to $3 billion in revolving loans and lets Marvell seek, subject to conditions, up to another $2 billion of commitments.
The company said the proceeds may be used for working capital in the ordinary course and general corporate purposes. The new agreement replaces a $1.5 billion revolving credit facility dated June 30, 2025. As of the effective date, no Revolving Loans were outstanding.

Why it matters
OptimistFi's case is that Marvell turns rising demand for higher-value data-infrastructure silicon into durable cash and earnings. This filing is mixed because it adds financing flexibility and larger borrowing capacity, while showing no outstanding Revolving Loans on the effective date.
Borrowings can be priced at an alternate base rate, a term SOFR rate with a one-, three- or six-month term, or a daily SOFR rate. Margins depend on debt ratings. Unused commitment fees range from 0.075% to 0.20% per annum.
The committed borrowing capacity rose by $1.5 billion from the prior facility, a 100% increase. The agreement also sets a leverage ratio cap of no greater than 4.00 to 1.00.
That cap can rise to 4.50 to 1.00 for the fiscal quarter in which Marvell closes an acquisition of at least $500 million and the next three fiscal quarters. The agreement defines a Material Acquisition as one involving $150 million or more of consideration.

What's next
The commitments and any loans terminate on the fifth anniversary of the effective date, and Marvell may request a one-year extension subject to conditions.
Any future borrowings would have to fit the agreement's rate options, fee grid and covenant terms. A later draw would show the line being used, while a successful extension would keep the maturity profile in place.
