What happened
Martin Marietta Materials, Inc. (NYSE: MLM) closed its $12.9 billion Lhoist North America (LNA) combination on Aug. 21 and updated its 2026 outlook. The price was $7.0 billion in cash and approximately $5.9 billion of Martin Marietta stock.
The deal lifted reported volume and revenue, but profit per ton in aggregates fell. Third-quarter revenue rose 28% to $2.37 billion from $1.85 billion a year earlier. Adjusted EBITDA from continuing operations rose 21% to $808 million from $667 million.
Earnings did not follow. Net earnings from continuing operations fell 29% to $256 million. Adjusted earnings per diluted share fell 11% to $5.47 from $6.12. Reported diluted earnings were $3.94 per share. The quarter carried $99 million of charges, or $1.53 per diluted share. They came from acquisition and integration costs, the markup of acquired inventory to fair value and a portfolio rationalization charge.

Where the growth came from
Acquired tons drove aggregates growth. Shipments rose 15.9% to a record 67.1 million tons, while organic shipments declined modestly. Average selling price fell 3.6% to $22.41 per ton, mainly because acquired operations sell below the company average. Organic price rose 1.0%, and organic mix-adjusted price rose 2.7%.
Aggregates gross profit fell 4% to $512 million, mainly on higher depreciation, depletion and amortization and energy-related costs. Gross profit per ton dropped to $7.62 from $9.17. Cash gross profit adds back depreciation and the acquired-inventory markup. It set a quarterly record of $696 million, up 6%. Per ton, it fell 8% to $10.36.
Specialties revenue rose 176% to $362 million. Its gross profit reached $88 million from $34 million, with partial-quarter LNA contributions. Organic Specialties revenue rose 11%. Since the closing, LNA delivered revenue of $216 million, gross profit of $51 million and cash gross profit of $115 million. By OptimistFi's calculation, that revenue equals 9.1% of the quarter's total revenue.

Why it matters
OptimistFi has argued that Martin Marietta works as an investment only if its aggregates pricing power proves structural rather than cyclical. This quarter gives each side evidence. Mix-adjusted organic pricing rose 2.7% despite what the company calls expanding inflationary pressures. That fits the pricing-power argument.
The profit lines cut the other way. Aggregates gross profit and gross profit per ton both fell. Management says acquisitions more than offset organic price-cost headwinds to produce the record cash gross profit. Price did not yet cover costs in 2026.
Management expects that to change. It says January 1 pricing actions and further structural cost improvements should restore a positive price-cost relationship in 2027, with mid- to high-single digit mix-adjusted aggregates pricing. That is a forecast. The structural case rests on it, not on this quarter.
What the financing did to the balance sheet
In July, the company took a $1.5 billion three-year senior unsecured term loan. In August, it issued $5.5 billion of senior unsecured notes in five tranches. Both funded the cash part of the LNA price.
Long-term debt, excluding current maturities, rose to $12.10 billion at Sept. 30 from $5.29 billion at Dec. 31, 2025. Current maturities rose to $720 million from $30 million. Quarterly interest expense was $138 million, up from $59 million a year earlier. Weighted-average diluted shares rose to 65.1 million from 60.4 million. At quarter end, the company held $140 million of unrestricted cash and $1.4 billion of unused borrowing capacity.
Cash generation offsets part of this. Nine-month operating cash flow was $896 million versus $1.16 billion a year earlier. The comparison includes $250 million of cash taxes on the gain from the February 2026 QUIKRETE asset exchange. Capital spending fell to $445 million from $602 million. Management says inventory discipline and lower capital spending alone added over $290 million to year-to-date cash flow.
The filing lists the company's heavy debt after the combination as a risk. It also lists the risk that the company may not cut leverage to its long-term target ratio on schedule.
What's next
The updated 2026 guidance midpoints are $7.80 billion of revenue and $2.48 billion of Adjusted EBITDA. For aggregates, the midpoints call for shipment growth of 13.0% and average selling price growth of negative 2.5%. The base is 2025 shipments of 198.5 million tons and a 2025 price of $23.30 per ton.
Management expects continued strength in infrastructure and data centers, with softer interest rate-sensitive private construction. It also says acquired operations, which now sell below the company average, offer room for pricing growth.
The next quarterly report is the test. Pricing actions that lift aggregates gross profit per ton back toward last year's $9.17, with steady LNA contributions, would support the structural reading. Another quarter of falling per-ton profit would favor the cyclical one.
