Rand Capital Q3 Earnings Call Highlights

Rand Capital (NASDAQ:RAND) reported third-quarter fiscal 2026 results marked by a sequential increase in portfolio interest income, a modest rise in net asset value per share, and continued efforts to address non-accrual investments.

President and CEO Dan Penberthy said the company’s third quarter reflected the contribution from capital deployed earlier in the year. Rand invested approximately $12 million during the first half of 2026, though it made no new or follow-on investments during the third quarter.

“If the second quarter was about putting capital to work, the third quarter was about seeing that capital begin to show up in our results,” Penberthy said.

Income Declines From Prior Year but Improves Sequentially

Total investment income was $1.3 million in the third quarter, down from $1.6 million in the comparable quarter of 2025. Chief Financial Officer Margaret Brechtel said the year-over-year decline primarily reflected lower interest income from portfolio companies with investments placed on non-accrual status, as well as lower fee income.

Portfolio-company interest income increased 4% sequentially to $1.2 million. Penberthy said the quarter-over-quarter trend in interest income had been stable through 2026, with modest improvement in the third quarter.

Net investment income totaled $669,000, or $0.23 per share, compared with $993,000, or $0.33 per share, a year earlier. Expenses rose to $769,000 from $596,000, reflecting higher professional fees, credit-facility interest expense, and base management fees, Brechtel said.

Non-cash paid-in-kind interest was $99,000, representing 8% of portfolio-company interest income, compared with 43% a year earlier. Brechtel said the lower percentage primarily resulted from non-accrual investments reducing the PIK interest recognized and should not be viewed on its own as an indicator of portfolio credit quality.

NAV Per Share Edges Higher

Rand’s net asset value per share rose to $17.36 at Sept. 30 from $17.33 at the end of June. The company reported a net increase in net assets from operations of $944,000, or $0.32 per share, compared with a decrease of $2.2 million, or $0.75 per share, in the prior-year quarter.

Below the net investment income line, the company recorded a net realized and unrealized gain on investments of $275,000, compared with a $3.2 million loss in the third quarter of 2025.

During the quarter, Rand formally recognized a $2 million realized loss related to its debt and equity investment in BMP Swanson, which had ceased operations during the second quarter. Penberthy said the loss was accompanied by a reversal of prior unrealized depreciation already reflected in net asset value, making the event an accounting reclassification with no overall NAV impact during the third quarter.

Valuation gains included increases of $700,000 at Bauer, $402,000 at Open Exchange, and $300,000 at Inter-National Electronic Alloys, or INEA. Those gains were partly offset by valuation declines of $500,000 at Autotality, $400,000 at ITA, and $100,000 at OnCore Golf.

Portfolio Remains Debt-Focused, With Non-Accrual Exposure

Rand’s portfolio had a fair value of $56.7 million at Sept. 30, up 17% from year-end 2025, and was spread across 20 companies. The portfolio was approximately 77% debt and 23% equity at fair value.

The annualized weighted-average yield on total debt investments was 8.97%, down from 11.3% at Dec. 31, 2025. The company had four debt positions on non-accrual status with an aggregate fair value of $8.7 million, representing about 15% of total portfolio value.

Penberthy said new investments made during 2026 were structured with total yields in the low- to mid-teens and that the reported portfolio yield continued to reflect the effect of non-accrual positions. He said Rand was actively working with the affected companies and their sponsors to preserve and recover value, though he did not provide a timetable for those outcomes.

Rand received a $250,000 repayment on its BlackJet debt investment, including a $7,500 prepayment fee, and a $16,250 principal repayment from Four Seasons Home Care during the quarter.

  • Rand’s five largest investments represented $24.5 million of fair value, or 43% of the portfolio.
  • The largest positions included INEA, Caitec, Feature Healthcare/Four Seasons Home Care, Highland All About People, and BMP Food Service Supply.
  • INEA remained the company’s largest holding at $5.9 million in fair value.

Dividend and Capital Availability

Rand paid its regular quarterly cash dividend of $0.29 per share on Sept. 9, bringing dividends paid during the first nine months of 2026 to $0.87 per share. The quarterly dividend exceeded net investment income of $0.23 per share.

Penberthy said management would consider that gap as part of its year-end regulated investment company calculations, while seeking to balance shareholder distributions, portfolio development, and financial flexibility.

At quarter-end, Rand had $5 million outstanding under its senior secured revolving credit facility and about $12.4 million of remaining borrowing availability, subject to borrowing-base and facility terms. The company said it was in compliance with facility covenants. The credit facility matures in June 2027, and Brechtel said Rand would evaluate its options well before that date.

Looking ahead, Penberthy said Rand’s priorities include adding income-producing lower-middle-market debt investments selectively, managing non-accrual positions, and retaining capital capacity for both new and follow-on investments.
