
Stockholders of Corebridge Financial (NYSE:CRBG) approved the company’s merger agreement with Equitable Holdings Inc. and related proposals at a virtual special meeting, clearing a key shareholder-vote milestone for the transaction.
Corebridge Chair Alan Colberg said the company’s board unanimously recommended that stockholders approve the merger agreement, advisory executive-compensation proposal and the company’s 2026 Employee Stock Purchase Plan. Based on preliminary voting results, all three proposals were approved.
Merger agreement receives sufficient support
The principal item before stockholders was adoption of the agreement and plan of merger dated March 26, 2026, involving Corebridge Financial, Equitable Holdings, Mountain Holdings Inc., and other entities identified in the merger agreement.
Colberg said the inspector of election advised the company that preliminary proxy tabulations showed the merger proposal had received sufficient votes for approval. As a result, Corebridge did not submit its adjournment proposal to stockholders for a vote.
The adjournment proposal would have been considered only if additional time had been needed to obtain votes for the merger agreement, according to the meeting remarks.
Compensation and employee stock plan also approved
In addition to the merger agreement, stockholders approved a non-binding advisory proposal concerning compensation that may be paid or become payable to Corebridge’s named executive officers in connection with the merger transaction.
Stockholders also approved the Corebridge 2026 Employee Stock Purchase Plan.

Quorum established; final results to follow
Jeannette Pina, Corebridge’s deputy general counsel and corporate secretary, said that as of the June 22, 2026, record date, the company had 445,768,608 shares of common stock outstanding and entitled to vote.
Pina said a majority of outstanding shares were represented virtually or by proxy, establishing a quorum. Tracy Oats of Broadridge Financial Solutions Inc. served as inspector of election for the meeting.
Colberg said final vote totals would be tallied and certified by the inspector of election. Corebridge expects to disclose final voting results in a Form 8-K filing with the Securities and Exchange Commission within four business days following the meeting.
