
Real Brokerage (NASDAQ:REAX) shareholders and other security holders approved a proposed arrangement involving the company, its subsidiary Real Wildlife Inc., and a subsidiary of Real Wildlife known as BidCo at a special meeting.
Larry Klane, a Real Brokerage director appointed by the board to chair the meeting, said the arrangement was the meeting’s sole item of business. The transaction is governed by an arrangement agreement and plan of merger dated April 26, 2026, and amended June 12, 2026, involving Real Wildlife Inc., 1587802 BC Unlimited Liability Company, and RE/MAX Holdings Inc.
Security Holders Approve Arrangement
Alix Lumpkin, Real Brokerage’s vice president, chief legal officer and corporate secretary, reported that the arrangement resolution received approval at the required voting thresholds following the close of voting.
The resolution required approval from at least two-thirds of votes cast by company shareholders present at the meeting or represented by proxy and entitled to vote. It also required support from at least two-thirds of votes cast by shareholders, option holders and restricted share unit holders voting together as a single class.
“Based on the scrutineer’s report, the arrangement resolution has been approved by the requisite thresholds,” Lumpkin said.
Klane subsequently declared the resolution carried. Final voting results were expected to be filed on SEDAR+ after the meeting.
Meeting Procedures and Disclosure
Estella Richard of Broadridge Financial Solutions Inc. served as scrutineer for the meeting. Klane said the company had received the preliminary scrutineer’s report and that a quorum was present.
The meeting materials, including the notice of meeting, management information circular dated July 9, 2026, proxy forms and letter of transmittal, were distributed to security holders of record as of June 29, 2026, as well as to applicable intermediaries, directors and the company’s auditors, according to Klane.
Lumpkin also reminded attendees that statements during the meeting could be considered forward-looking and that actual results could differ from expectations. She directed investors to the company’s filings on SEDAR+ and EDGAR, including its annual information form filed with its Form 40-F for the fiscal year ended Dec. 31, 2025, and the July 9 management information circular.
No comments or questions regarding the motion were submitted through the meeting’s web portal, Lumpkin said. After the vote was certified, Klane concluded the special meeting.
