Corteva extends EIDP note exchange deadline

What happened

Corteva, Inc. (NYSE: CTVA) said Vylor Inc. extended the expiration date for its exchange offers and consent solicitations to September 30, 2026. The offers cover EIDP, Inc.'s 2.300% Senior Notes due 2030, 5.125% Senior Notes due 2032 and 4.800% Senior Notes due 2033. The exchange offers were originally announced on August 6, 2026.

Vylor is Corteva's wholly owned subsidiary. As of 5:00 p.m., New York City time, on September 29, 2026, holders had validly tendered $434.84 million of the 2.300% notes, $476.21 million of the 5.125% notes and $527.58 million of the 4.800% notes. That was 86.97%, 95.24% and 87.93% of the three series. As previously announced, Vylor received the requisite consents. The exchange offers and consent solicitations seek proposed amendments to the indentures governing the EIDP notes.

Why it matters

OptimistFi's case is that Corteva works if its differentiated seed and crop-protection technology keeps commanding farmer spend and management converts that value into higher gross margin and cash flow. This filing is a debt exchange step tied to the planned separation, not evidence on that operating test.

The 5.125% Senior Notes due 2032 had the highest validly tendered rate at 95.24%, 8.27 percentage points above the 2.300% Senior Notes due 2030. The caveat is that completion still depends on Corteva's planned separation into two independent, publicly traded companies, and Vylor may extend or terminate the offers again.

What's next

If remaining conditions are satisfied or waived, settlement is expected on or about the first business day after September 30, 2026, and it is meant to occur with the separation. The proposed amendments become operative only when that settlement happens.

A completed settlement on that timetable would support the restructuring plan, while another extension would push the timeline out. Vylor also keeps the right to terminate, withdraw, amend or extend the offers before expiration. Vylor may extend either date again if needed.
