Boston Scientific (NYSE: BSX) names Fitzgerald COO, splits into 3 segments

What happened

Boston Scientific Corporation (NYSE: BSX) said Joseph M. Fitzgerald will become executive vice president and chief operating officer on Jan. 1, 2027. He is now executive vice president and group president, Cardiovascular, a role he has held since May 2022. The company also said it will create three reportable segments, Interventional Therapies, Rhythm Solutions and MedSurg, on the same date.

Lance Bates will lead Interventional Therapies, Nick Spadea-Anello will lead Rhythm Solutions and Stephen Morse will lead MedSurg and Asia Pacific. All three will report to Fitzgerald. Interventional Therapies will include the Penumbra business after the anticipated close of the acquisition. The filing also says Fitzgerald joined Boston Scientific in 1990. Emily Woodworth (Collins) will remain chief accounting officer until March 1, 2027, when Mark Bickel takes over.

Why it matters

The new operating model is meant to give the company more room to focus on long-term growth priorities and let businesses move faster and stay close to customers and patients. The filing also says Woodworth's transition is not due to any disagreement with the company.

On Jan. 1, 2027, Fitzgerald is scheduled to take the COO role and the three reportable segments are set to begin. Boston Scientific said the 2027 equity award is expected in February 2027.

Woodworth and Bickel are scheduled to complete the chief accounting officer transition on March 1, 2027. A smooth rollout and the anticipated Penumbra close would support the new setup. A delay in the acquisition would leave the structural shift without an operating impact.
