Workday (NASDAQ: WDAY) agrees to buy C1.ai for its agent governance push

What happened

On October 12, 2026, Workday, Inc. (NASDAQ: WDAY) said it signed a definitive agreement to acquire C1.ai.

The deal is subject to customary closing conditions. Workday expects it to close in its fiscal fourth quarter ending January 31, 2027.

Workday said C1.ai is a leading agentic identity platform for people and agents.

The announcement came at Workday Rising 2026 in Las Vegas.

The filing says Workday will acquire all of the outstanding capital stock of C1.ai.

Why it matters

OptimistFi's case is that Workday can become the trusted enterprise AI agent layer across people and money.

This deal supports that view. Workday said C1.ai will help it become the identity governance layer for people, money and agents.

Workday also said it already governs the people, money and agents at the heart of the enterprise.

With C1.ai, Workday said it will go beyond registering agents to governing what they can access across Workday and other enterprise systems.

The release says C1.ai connects to email, CRM, code repositories, finance systems and cloud infrastructure.

It also says every new hire, job change and exit is a Workday event.

New hires get the right access when they start. Employees gain and lose access as roles change. Departing workers are removed promptly.

The release says 95% of large U.S. companies already run autonomous agents, while only 21% report a mature way to govern them.

OptimistFi's calculation puts that gap at 74 percentage points.

The logic is clear, but the filing is still only an agreement.

It warns the deal may not close on time or at all, may miss expected benefits and may add unplanned costs.

The filing also says the deal could hurt operations or the share price.

What's next

The deal is expected to close in Workday's fiscal fourth quarter ending January 31, 2027, if customary closing conditions are met.

If it closes on that schedule, investors can judge whether C1.ai makes Workday's platform pitch into a tighter identity-control layer.

If the deal is delayed or does not close, the case stays untested and execution risk remains in focus.
