Why it matters

OptimistFi's case is that Immuron's value depends on turning development and commercial optionality into financing, partnerships or product traction before cash pressure tightens. This filing is mixed because it adds possible equity funding and employee-plan headroom, but it is only a vote and not a completed raise.

Resolution 3 is a special resolution under ASX Listing Rule 7.1A. It would let Immuron issue equity securities up to 10% of issued capital at the time of issue. That sits on top of the existing 15% placement capacity under Listing Rule 7.1.

The notice says any placement could dilute non-participating holders and may be priced below market. The same notice seeks to renew the Omnibus Incentive Plan with a 12.5% cap over a rolling 3-year period.

At the time of preparing the notice, 12.5% represented 40,356,010 equities. Immuron said 26,821,997 equity securities had been issued under Listing Rule 7.1A.2 in the prior 12 months, about 66.5% of that amount.

This is still only a vote. Immuron says it is not proposing an issue under Listing Rule 7.1A.2. If shareholders reject the proposals, the existing plan stays in place with a 5% cap.

What's next

Shareholders vote on Wednesday, 18 November 2026 at 2:00 pm AEDT.

Approval of Resolution 3 would give Immuron a 10% placement facility for the 12 months after the meeting. Rejection would leave only the existing 15% capacity.

Approval of Resolution 4 would lift the Omnibus Plan cap to 12.5% of issued shares over a rolling 3-year period.

The vote outcome will show whether shareholders are willing to add financing and equity-incentive capacity before any issue is made.
