Zymeworks (NASDAQ: ZYME) inks Roche deal with up to $718 million in milestones

What happened

Zymeworks Inc. (NASDAQ: ZYME) entered a global license and collaboration agreement with Roche for ZW209 on October 22, 2026.

The deal gives Roche an exclusive, worldwide, royalty-bearing license with sublicensing rights for ZW209 and other DLL3-targeting trispecific T-cell engagers covered by Zymeworks' intellectual property.

The license covers research, development, making, use, sale, import, export and other exploitation of those products and companion diagnostics. It becomes effective after HSR Clearance.

Zymeworks said it will run the Phase Ia monotherapy trial at Roche's expense. Roche will handle all later development and commercialization.

Roche also has the sole right to make compounds and products for commercial use and clinical studies, except for the Phase Ia trial.

Zymeworks said Roche will pay the $55.0 million upfront amount after clearance and $40.0 million when Phase Ib starts.

From effectiveness until the earlier of five years, the start of the first Phase 3 study or termination, Zymeworks cannot pursue DLL3-targeting T-cell engager work outside the agreement.

Zymeworks can receive up to $718 million in research, development, commercial and sales-based milestones, plus tiered royalties on annual net sales.

Why it matters

OptimistFi's case is that Zymeworks needs partner-funded milestones to turn its pipeline into cash before dilution.

The filing makes ZW209 a partner-funded program, with Roche paying later development and commercialization costs.

The upfront payment is about 1.4 times the Phase Ib milestone, so more cash comes early than at the next trigger.

The milestone pool still tops out at $718 million, and Zymeworks can also receive tiered high-single-digit to mid-teen royalties on annual net sales.

The main risk is that Roche can terminate the agreement in its sole discretion. The larger milestones and royalties are not guaranteed.

What's next

Zymeworks said the license becomes effective on the first business day after HSR Clearance, and the $55.0 million payment is due then.

The $40.0 million milestone is due when Roche starts the Phase Ib trial for the first product.

Zymeworks will host a conference call on October 27, 2026 at 8:30 am ET.

A clearance notice and a Phase Ib start would strengthen the cash profile. A delay would leave both payments pending.
