Why it matters

The U.S. notes carry 5.050%, 5.150%, 5.350% and 5.550% coupons. The Canadian notes carry 4.150%, 4.450%, 4.950% and 5.250% coupons. Across the maturities, Walmart is locking in rates through 2056.

The U.S. notes will net $2.99 billion before transaction expenses, or about 99.5% of principal. The Canadian notes will net C$4.98 billion before transaction expenses. This is close to face value, so the main issue is the cost of carrying the debt, not a deep issuance discount.

OptimistFi's case is that Walmart turns its scale, low-cost supply chain and omnichannel reach into durable cash generation through disciplined capital allocation. This filing is mixed for that thesis because it adds long-dated financing capacity, but it also adds fixed-rate debt and coupon obligations. It changes financing terms, not operating performance.

What's next

The parties expect to close the U.S. and Canadian offerings on October 23, 2026.

For the Canadian notes, interest payments fall on April 23 and October 23 each year. The par call dates run from September 23, 2030 through April 23, 2056.

Those dates mark when Walmart can redeem the Canadian notes at par, or at the yield-based redemption price before the par call date. A completed closing would confirm the financing plan. A delay would push the cash raise back.
