What happened
Medifast, Inc. (NYSE: MED) reported a wider third-quarter loss on lower sales and guided to a fourth quarter at breakeven or better. The coach network behind those sales is shrinking, and management says it will keep shrinking.
Revenue for the quarter ended Sept. 30 fell 19.4% to $72.0 million from $89.4 million a year earlier, mainly because of fewer active earning coaches. The net loss was $17.5 million, or $1.57 a share. A year earlier it was $2.3 million, or $0.21 a share.
For the fourth quarter, Medifast expects revenue of $55 million to $75 million and income of $0.00 to $0.25 a share. For the full year, it expects revenue of $280 million to $300 million and a loss of $1.80 to $2.05 a share.

Where the loss comes from
Restructuring charges explain most of the gap between the reported loss and the company's adjusted figures. Medifast began a cost-savings project it calls Catalyst in the second quarter and carried out most of it in the third. Catalyst charges came to $15.4 million, including $13.8 million in selling, general and administrative expenses.
Those expenses rose 4.8% to $69.4 million. A $6.6 million drop in coach compensation, on lower volume and fewer coaches, offset part of the Catalyst charges. Excluding Catalyst, the adjusted net loss was $2.1 million, or $0.19 a share.
On the same adjusted basis, gross profit was $51.7 million and the margin rose 220 basis points to 71.7%. Adjusted loss from operations improved 3.2% to $4.0 million. These adjusted measures are the company's own and leave out the restructuring costs.

What the coach numbers show
Active earning coaches fell 47.7% to 10,200 from 19,500 a year earlier. The company blames continued pressure on client acquisition, including fast adoption of GLP-1 weight-loss drugs.
Revenue per active earning coach rose 54.1% to $7,064 from $4,585. The company says the smaller coach count drove the rise, helped by a focus on more efficient and productive coach network structures. Revenue fell far less than the coach count, which explains the higher figure.
CEO Nick Johnson said the Trilivy system, Reset Fueling products, a new compensation plan and Coach Hub are now in market. He said coach productivity has improved year over year for the fourth straight quarter. He called that the kind of indicator that has historically come before coach growth and revenue growth.
Why it matters
OptimistFi has argued that Medifast is a high-risk turnaround bet on whether its coach-guided model can survive drug-led alternatives. The quarter is mixed for that view. The company itself names GLP-1 adoption as a drag on client acquisition. Yet the cost program and higher output per coach support its fourth-quarter profit target.
The guidance leaves little margin. The top end of the full-year loss range already equals the nine-month loss per share, so the range rests entirely on the fourth quarter. Most of the fourth-quarter revenue range sits below third-quarter revenue.
Management also expects the number of active earning coaches to keep falling through the end of 2026. A fourth-quarter profit would therefore come from a smaller sales force and lower costs, not from coach growth.
The balance sheet gives the company room to try. Cash, cash equivalents and investment securities were $172.5 million with no debt at Sept. 30, up from $167.3 million at Dec. 31, 2025.
What's next
Medifast holds its conference call at 8:30 a.m. ET on Oct. 26. The webcast will be archived through Jan. 26, 2027. Management says it is on track to deliver profitability in the fourth quarter.
The fourth-quarter report is the test. Medifast guided to Adjusted EBITDA excluding interest income of $2 million to $6 million for the quarter and $10 million to $14 million for the full year. A fourth-quarter loss, or a coach count well below the third-quarter level, would weaken the turnaround case.
