Woodside (NYSE: WDS) agrees to exit Greater Sunrise, and most of the price waits on LNG

What happened

Woodside Energy Group Ltd. (NYSE: WDS) agreed to sell its stake in the Sunrise Joint Venture to TIMOR GAP for up to $200 million.

The deal covers the titles containing the Greater Sunrise fields, where Woodside holds a unitised participating interest of 33.44%. Woodside announced it on Oct. 27.

The price comes in three parts. Woodside gets $13.71 million on completion. Another $11.29 million is due if a Final Investment Decision is made to develop the Greater Sunrise Special Regime Area for LNG. The last $175 million is due within 365 days after loading begins on the first LNG cargo from that area that is for sale.

Closing needs government, regulatory and joint venture approvals. The effective date is Nov. 1, 2026. The completion payment will be adjusted after closing for cash calls and working capital.

Why it matters

By OptimistFi's calculation, the final payment is 87.5% of the maximum price. Most of the headline figure depends on a first LNG cargo being loaded.

Chief Executive Officer Liz Westcott said the sale reflects a disciplined approach to portfolio management and capital allocation. She called Sunrise a high-quality resource. She said the sale lets capital and management attention go to opportunities with the greatest shareholder value.

OptimistFi has argued that Woodside's value rests on turning production into durable cash flow and reinvesting with discipline. The exit fits that discipline, but only a small slice of the price arrives at closing.

TIMOR GAP holds 56.56% of the Sunrise Joint Venture. On Sept. 2 it said it had agreed to buy Osaka Gas's 10% interest, subject to conditions. Woodside said an August agreement on key principles for a new Greater Sunrise Production Sharing Contract made this an appropriate time to sell.

The full price is not assured. Closing needs approvals, and the later payments need a Final Investment Decision and a first LNG cargo.

What's next

Woodside targets completion in the first half of 2027. Closing would bring the first payment and end Woodside's interest in the Sunrise Joint Venture. Any delay in approvals would push that date back.
