United Therapeutics (NASDAQ: UTHR) CEO Rothblatt sells $5.65 million of option shares

What happened

United Therapeutics Corp (NASDAQ: UTHR) Chairperson and CEO Martine A. Rothblatt sold 9,500 shares on Oct. 29 for about $5.65 million.

The shares came from stock options exercised the same day at $117.76 each. The options vested in equal installments on March 15 of 2021, 2022 and 2023. The sales were reported at prices from $590.43 to $599.30 per share. The filing says they followed a Rule 10b5-1 trading plan Rothblatt adopted on Nov. 7, 2025. The largest block was 1,678 shares at a weighted average of $595.88.

After the sales, Rothblatt held 324,443 shares through a family trust. Rothblatt shares investment power over that trust, and Rothblatt and immediate family members are beneficiaries. The Form 4 also lists 40,513 shares held directly and more shares in other family trusts.

Why it matters

The sale trims Rothblatt's exposure without ending it. By OptimistFi's calculation, the 9,500 shares were 2.8% of the trust's holding before the trade. The trust still held 128,910 options at that same exercise price afterward.

A 10b5-1 plan lets an insider set trades in advance. The filing says this sale followed such a plan and came from same-day option exercises, so it says little about the company's outlook. Rothblatt also still holds 40,513 shares directly, plus the trust and other family trusts.

OptimistFi has argued that the stock depends on whether Tyvaso-led pulmonary hypertension cash flows prove durable enough to fund the next growth leg. A plan-based sale by the CEO does not test that, so the investment case is unchanged.

What's next

The plan ends on the earlier of Dec. 31, 2026 or the exercise of 1,734,410 options. All of the options expire March 15, 2027.

New Form 4 filings before then would show how much of the plan Rothblatt uses. Sales outside the plan, or a sharp rise in size, would be a stronger signal than this one.
