What happened
Airsculpt Technologies, Inc. (NASDAQ: AIRS) lowered its revenue outlook and signed a new secured loan to refinance debt.
The company now expects full-year revenue of about $144 million to $146 million. The previous range was $151 million to $157 million. That cuts the low end by $7 million and the high end by $11 million.
The financing agreement is dated Nov. 5. It gives the company a $39 million initial term loan and a revolver of up to $5 million outstanding at any time. EBS Enterprises LLC and other Airsculpt subsidiaries are the borrowers. Blue Torch Finance LLC is agent for the lenders. The money goes to refinance existing debt, fund working capital, and pay fees and expenses.

Where revenue stands
Sales are running behind last year. Revenue for the first nine months of fiscal 2026 was $114.2 million, down 3.5% from $118.4 million a year earlier.
The earnings release also reports revenue of $31.9 million, which is 8.7% below $35.0 million in fiscal 2025. That drop is steeper than the nine-month decline.

What the loan costs
The loan floats with a benchmark rate, and the margin depends on leverage. For SOFR loans, the margin is 7.75% when the leverage ratio is 3.00 to 1.00 or higher. It is 7.25% between 2.00 and 3.00, and 6.75% below 2.00. The top rate applies until the first compliance certificate for the first full fiscal quarter after the effective date. A default also resets the margin to the top rate.
Leaving early is costly too. Most early repayments of term loan principal in the first year carry a make-whole amount plus 3.00% of the principal repaid. The extra charge falls to 2.00% in year two, 1.00% in year three and 0.50% in year four, then ends.
Why it matters
OptimistFi has argued that AIRS must refill its clinics and restore margins before weak demand or liquidity pressure erodes the equity. The new loan eases the liquidity side by refinancing debt and adding a revolver for working capital. But lower revenue and a lower outlook work against the recovery the case needs.
The pricing ties the cost of this debt to the turnaround. If recovery lowers the leverage ratio, the margin moves down the grid. Weaker results keep the company paying at the higher tiers.
The financing may buy time. But revenue is below last year and the outlook is lower. Nothing yet shows demand or margins recovering, so the case stays mixed.
What's next
The next test is the first quarterly financial statements and compliance certificate under the agreement. The margin adjusts five business days after the agent receives them. The leverage ratio in that certificate decides whether borrowing costs leave the top tier.
If full-year revenue lands inside the lowered range, the cut was enough. A shortfall would add pressure on a company that has just taken on secured debt.
