Capital One’s Fairbank sells $18.59 million of stock under a preset plan (NYSE: COF)

What happened

Capital One Financial Corp (NYSE: COF) Chairman and CEO Richard D. Fairbank sold 90,743 shares on Nov. 4 for about $18.59 million.

The Form 4 reports 14 sales at weighted average prices from $199.55 to $214.61 a share. Fairbank held 3,968,520 shares afterward.

Fairbank also exercised stock options on 40,743 shares at $86.34 the same day, lifting his holding to 4,059,263 shares before the sales began. That covers less than half of the shares sold.

The filing says the sales were made under a Rule 10b5-1 trading plan that Fairbank entered on May 13, 2025. The options he exercised were due to expire on Feb. 2, 2027.

Why it matters

The sale was small against the stake. OptimistFi calculates that it was 2.2% of Fairbank's holding before the trade, so the CEO still owns the large majority of his position.

The exercise supplied 40,743 of the 90,743 shares sold. That means 50,000 shares came from shares Fairbank already held, and his holding fell from 4,018,520 shares before the exercise to 3,968,520 afterward.

The filing reports the sales at weighted average prices well above the options' exercise price, so the exercised shares were sold at a higher price than they cost to acquire. The exercise and the sales both took place on Nov. 4 and appear together in a single Form 4.

The plan predates the trade and the sale came alongside an option exercise, so it says little about Capital One's prospects. The Form 4 was signed Nov. 6, two days after the trades, and the filing does not tie the sale to any change in earnings, guidance or strategy.

OptimistFi has argued that Capital One's card franchise and payment networks will generate the cash flow to fund per-share recovery after acquisition dilution. The sale leaves that case unchanged.

What's next

Capital One's next quarterly report is the next test of the per-share recovery in OptimistFi's case. A further Form 4 under the same plan would show whether Fairbank keeps selling.
