Why it matters

The sale trims the trust's position without ending Francis' stake. By OptimistFi's calculation, the 75,000 shares were 19.8% of the 379,256 shares the trust held before the trade. The Form 4 lists the trust's shares as indirectly owned and the direct holding separately.

Francis also holds 368,129 shares directly. That total includes 355,697 shares issuable on settlement of restricted stock units. Each unit is a contingent right to receive one share of common stock. The sale touched only the trust's shares and left the directly held position unchanged.

The plan was dated more than a year before the trade. That timing means the sale may reflect a pre-set schedule more than a view on SI-BONE's business.

OptimistFi has argued that SI-BONE's value rests on turning its implant platform's clinical evidence into wider physician adoption and reimbursement, which this sale does not test. The sale leaves that view unchanged.

What's next

The case also needs a direct salesforce to carry the company into adjacent spinal and pelvic markets and toward profitability. SI-BONE's next quarterly report is the next scheduled check on that progress.

Another Form 4 from Francis would show whether sales under the plan continue.
