Forum Markets Shareholders Elect Directors, Approve Pay and Auditor at 2026 Meeting

Forum Markets (NASDAQ:FRMM) held its 2026 annual meeting of stockholders virtually on Aug. 19, with shareholders electing three Class II directors, approving executive compensation on an advisory basis and ratifying the appointment of the company’s independent auditor.

John Saunders, Forum Markets’ chief financial officer, vice president of finance and secretary, said the meeting was conducted virtually and that stockholders of record as of June 24, 2026, who had registered for the event were eligible to attend and vote.

McAndrew Rudisill, the company’s CEO and executive chairman, chaired the meeting. Rudisill introduced the board members in attendance, including Angela Dalton, Michael Edwards, Crystal Heter, Jason New, Ryan Smith and Andrew Suckling.

According to the Inspector of Elections, 68.5% of the voting power of Forum Markets’ outstanding common shares entitled to vote was represented in person or by proxy. Rudisill said that level of participation established a quorum for the meeting.

Directors Elected Through 2028 Meeting

Shareholders voted on the election of three Class II directors: Rudisill, Ryan Smith and Jason New. The company said each was elected and will serve until the 2028 annual meeting of stockholders, until a successor is elected and qualified, or until an earlier resignation or removal.

Rudisill said Forum Markets had not received any shareholder nominations for director candidates before the deadline established in its bylaws.

Executive Pay and Auditor Ratification Approved

Stockholders also approved, on an advisory and non-binding basis, the compensation of the company’s named executive officers as outlined in the proxy statement.

In addition, shareholders ratified the appointment of M&K CPAs, PLLC as Forum Markets’ independent registered public accounting firm for the fiscal year ending Dec. 31, 2026.

Rudisill noted that shareholder approval of the auditor appointment was not required, but the board submitted the matter for a vote as a corporate-governance practice.

The company said it had not received any shareholder proposals or other business for consideration at the annual meeting. Following the preliminary voting report, the meeting was adjourned.
